These Terms of Use ("Terms") govern your access to and use of nbdc.online (the "Site"), operated by the National Business Development Center ("NBDC," "we," "us," or "our"), and your participation in NBDC membership, programs and events.
By using the Site, submitting an application or participating in our programs, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site or our services.
You must be at least 18 years old and able to enter into a binding agreement to use our services. Membership is intended for newly registered businesses that meet the eligibility criteria described on our How to Register page. We may review, approve or decline any application at our discretion.
If you apply on behalf of a business, you confirm that you have the authority to do so and to accept these Terms on the business's behalf.

We may suspend or end a membership if information provided is false or misleading, or if these Terms are violated.
NBDC programs, advising sessions, workshops and events are provided for general business education and support. Program details, schedules, availability and eligibility may change at any time.
Through programs such as Helping Hands, we may introduce you to independent advisors, contractors or partners. Unless we state otherwise in writing, these parties are independent and are not employees or agents of NBDC. Any agreement you make with them is between you and that party, and you are responsible for evaluating their services before you engage them.
Information on the Site and guidance provided through our programs is for general informational and educational purposes only. It is not legal, tax, accounting, financial or investment advice. You should consult a qualified professional before making decisions about your business. You are solely responsible for your business decisions and their results.
Any statistics, results or member stories shown on the Site are illustrative and do not guarantee similar outcomes for your business.

The Site and its content, including text, design, graphics, logos and the NBDC name and mark, are owned by or licensed to NBDC and are protected by intellectual property laws. You may view and print pages for your personal, non-commercial use. You may not copy, reproduce, modify, distribute or create derivative works from the Site's content without our prior written permission.
Materials shared with you in our programs are for your own business's use and may not be resold or redistributed.
The Site may contain links to, or content from, third-party websites and services. We do not control and are not responsible for their content, policies or practices. Accessing them is at your own risk and subject to their terms.
Event dates, times, locations, speakers and pricing are subject to change. Where an event has a fee, any refund or cancellation terms will be shown at registration. By attending an NBDC event, you agree to behave respectfully and professionally, and you consent to being photographed or recorded in general event photography unless you tell event staff otherwise.
The Site and our services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free or secure, or that any program will achieve a particular result.
To the fullest extent permitted by law, NBDC and its staff, volunteers, advisors and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunities, arising from your use of the Site or our services, even if we have been advised of the possibility of such damages.
Where liability cannot be excluded, our total liability for any claim relating to the Site or our services is limited to the amount, if any, you paid to NBDC for the service giving rise to the claim.
You agree to defend, indemnify and hold harmless NBDC and its staff, volunteers, advisors and partners from any claims, damages, losses and expenses, including reasonable legal fees, arising from your violation of these Terms, your misuse of the Site, or your dealings with any third party introduced through our programs.
We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. Your continued use of the Site or our services after an update means you accept the revised Terms.
We may suspend or discontinue the Site, any program or your access at any time, with or without notice.
These Terms are governed by the laws of the United States and the state in which NBDC is organized, without regard to conflict-of-law principles. If any part of these Terms is found unenforceable, the rest will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later.
